Ideiasnet’s shares are listed on the Bovespa (Bolsa de Valores de São Paulo) under the symbol “IDNT3”

2. What is the investment and divestment policy of Ideiasnet?

Ideiasnet operational strategy is also to transform its IT investment portfolio into a group of companies with complementary operations, leveraging the invested resources and know-how.  As a long-time investor, Ideiasnet employs its resources and know-how to develop the business strategy, operation and management of the invested companies. Ideiasnet´s strategy is to participate in the management of the invested companies by providing integration, exchange of experiences, administrative structure, access to the capital markets, marketing support, management recruiting, development and update of business plan.

The investment policy is focused on the most attractive segments of the Internet, those that have experienced success in developed markets such as the US, and those in which the team clearly has a competitive advantage. Currently, Ideiasnet portfolio is comprised of 17 companies in the following segments:

Financing new businesses requires several valuation stages, one of which is the simulation of possible financial, administrative and operational synergies between the project and the existing and the ideal portfolio. Once the project feasibility and its complementary character to the investment portfolio are determined, Ideiasnet negotiates its economic and managerial stake in the new company. The highlights, among the main criteria used by the holding company when analyzing potential new investments, are the following:

Management frequently analyses new projects with high potential of appreciation that are complementary to the current investment portfolio. The velocity of new additions to the portfolio depends on the opportunities identified and on an objective analysis of Ideiasnet´s management capacity to absorb new projects without compromising the existing investments.

According to Ideiasnet estimates, the average maturity time of its investments is approximately 2-3 years. However, some projects might achieve a satisfactory development stage in shorter or longer time periods. The Company sells part or the totality of its stake after certain criteria, including the appreciation of the investment, are met. The disinvestment process allows for the allocation of the resources to other projects, to companies in earlier development stages, or to the increase in the Company’s participation in mature investments.

Ideiasnet has distinct and flexible strategies to recycle its portfolio. Its stake can be alienated via block trade, by selling part or the totality of the shares issued by the invested companies after they go public; by selling part of or the totality of its shares to strategic investors; by selling part of or the totality of its shares to financial investors.

Shareholders are entitled to 25% of the net income registered in the fiscal year as dividends, adjusted as provided by Law. In the year, there was no dividend distribution.
